Please read these Terms and Conditions carefully before participating in the program.
Terms and Conditions for the Use of the TODi Mobile App
The terms and conditions contained herein (“this Agreement”) constitute a legally binding agreement between you and TODi (as defined below). Please read through this Agreement carefully before using TODi Mobile App (as defined below) to ensure that you fully understand and agree to be bound by all the terms and conditions of this Agreement. If you do not understand, accept or agree to any terms or conditions in this Agreement, you should refrain from accessing and/or using the TODi Mobile App and/or the Services (as defined below) in any manner whatsoever.
General
• The program is designed to promote single-use waste reduction by means of reusability in Hong Kong.
• The program is designed to create a circular economy for reusable tableware, reducing the environmental impact of single-use disposables.
• The program is open to all customers in Hong Kong, including both local residents and foreign visitors.
• The reusable tableware is provided for customers to carry to restaurants and use for their takeaway orders, replacing single-use disposable containers and cutlery, in order to cut down on waste.
Definitions
• The following definitions apply in this agreement –
o (a) “TODi Mobile App” refers to the TODi rental station (which stands for Vending Machine) and RVM return station (which stands for Reverse Vending Machine) that is available for download on Apple App Store and Google Play.
o (b) “Account” means the account to be opened and maintained by you through the TODi Mobile App in accordance with the provisions of this Agreement.
o (c) “APP Content” means the TODi Mobile App, any APP Information, any Services and/or any other external websites or resources linked to the TODi Mobile App;
o (d) “APP Information” means any Information, materials or items to be provided by TODi, TODi Affiliates or Third Party Providers on or through the TODi Mobile App or the Services;
o (e) “TODi”, “we”, or “us” means TODi Solutions Limited and “our” have the corresponding possessive meaning accordingly;
o (f) “TODi Affiliates” or “our Affiliates” means TODi’s agents or licensors, and their respective agents, officers, affiliates and employees;
o (g) “Information” means information, data, contents, analysis, news, reports, programmes, photographs, pictures, graphics, video, audio, software and other materials and services, communications, transmissions and other items, whether tangible or intangible;
o (h) “Services” means any services or functions to be provided by TODi, TODi Affiliates or Third Party Providers on or through the TODi Mobile App;
o (i) “Third Party Providers” mean any provider of Information or Services on or through the TODi Mobile App other than TODi; and
o (i) “user” or “you” means any person who accesses the TODi Mobile App and “your” has the corresponding possessive meaning accordingly.
o (j) “Reusable tableware” means durable, washable, returnable containers and cutlery set that can be used multiple times.
o (k) “Cutlery set” means a plastic case with stainless steel fork, spoon, and knife inclusive
o (l) “Vending Machines” means automated machines that dispense reusable tableware with refundable deposit required.
o (m) “Return Stations” means designated drop-off points/ RVM where customers can return their loaned reusable tableware with good condition, and redeem their refundable deposit by means of Octopus Card.
Except where the context otherwise requires, words importing the singular shall include the plural and vice versa; words importing a gender shall include all other genders; references to any person shall include any individual, firm, body corporate or unincorporate (wherever established or incorporated).
Use of the TODi Mobile App
• In consideration of your agreement to be bound by the terms and conditions of this Agreement, you are granted a limited, revocable, non-transferrable, non-sub-licensable, non-exclusive right to use the TODi Mobile App in accordance with the terms and conditions of this Agreement. You are only authorized to use the TODi Mobile App for the sole purpose of accessing and using the Services. Whilst your access to and use of the TODi Mobile App, the APP Information and the Services is generally free of charge, TODi reserves the right to impose any fees and/or charges that may, in its sole and absolute discretion see fit, from time to time, in which case you will be notified in advance and be given the right to determine whether to not to agree to pay for such fees/charges. In the event that you elect not to pay for such fees/charges, TODi reserves the right to deny giving you access to all or any part of the TODi Mobile App, APP Information and/or the Services.
• You shall not: –
o (a) damage, disable, disrupt, overburden, impair or interfere with our servers, network and/or computer systems connected to any server in relation to the TODi Mobile App;
o (b) access, use, trespass or hack into any other parts of our servers, network and/or computer systems connected to any server in relation to the TODi Mobile App for which you have not been granted permission (whether expressly or implicitly) by TODi;
o (c) inhibit, restrict or interfere with any other users from using and enjoying the TODi Mobile App, the Services and/or any APP Content;
o (d) post or transmit through the TODi Mobile App, any Services or any other external websites or resources linked to the TODi Mobile App any unlawful, illegal, fraudulent, defamatory, libellous, pornographic, obscene, profane, abusive, offensive, threatening or otherwise objectionable Information of any kind;
o (e) post or transmit through the TODi Mobile App, any Services or any other external websites or resources linked to the TODi Mobile App any advertisements, solicitations, investment opportunities or other schemes or unsolicited commercial communication, or engage in spamming or phishing;
o (f) post or transmit through the TODi Mobile App, any Services or any other external websites or resources linked to the TODi Mobile App any Information or software which contains any virus, contaminating or destructive properties or other harmful components; and/or
o (g) post, transmit, publish, reproduce, distribute or in any way exploit any APP Content for any purposes except those expressly permitted and set out in this Agreement.
• You shall fully comply with all applicable laws, statutes, ordinances and regulations regarding your access and use of the TODi Mobile App, the Services and/or any APP Content.
App Account
• When you open an Account via the TODi Mobile App, you will be required to provide us with the following information:-
o Your user name;
o Your mobile telephone number which will be used as your login name
o Age (optional)
o Email address (optional)
o Occupation (optional)
o District (optional)
o Usage Data
• If you fail to provide us with any of the information referred to point above or if any such information is inaccurate, out-of-date and/or incomplete, your eligibility for opening and/or maintaining your Account through the TODi Mobile App may be adversely affected and you may be denied access to the Services and/or the App Content. We may revoke your access or use of your Account and/or your permission to access and/or use some of the Services without prior notice or liability to you. You will be held fully liable for any losses caused by you, or the inaccuracy or incompleteness of information you provide, or your failure to provide any information to us, or any third parties in the course of your using the TODi Mobile App or any Services or otherwise in relation or incidental to the terms and conditions in this Agreement.
• Customers must download the program’s mobile app and register as a member in order to participate in the program.
• Customers can create an account in the program’s mobile app to track their rental history, manage their deposits, and receive updates about the program.
• To create an account, customers must provide accurate personal information, such as their name and other contact details.
• Customers are responsible for maintaining the security of their account credentials and must not share them with any unauthorized third parties.
• The program provider reserves the right to suspend or terminate a customer’s account if it is used for unauthorized or illegal activities.
• Customers can use their app account to rent and return reusable containers, as well as receive notifications about the program’s updates and promotions.
• The program provider may collect additional data from customers’ app usage, such as location information and usage patterns, to improve the program’s services. This data will be handled in accordance with the program’s data privacy policies.
Changes to the TODi Mobile App and this Agreement
• We may, in any manner and at any time in our sole and absolute discretion and without prior notice to you, add, remove, modify and/or amend any contents, terms or APP Information and/or any features, presentation, substance, functionality or any other aspects of the TODi Mobile App and/or any Services and/or add, remove, modify and/or amend any provisions under this Agreement (collectively “Modification”). Such Modification shall be effective immediately and automatically upon being implemented and in case of any documentation, posting of such Modification, an updated version of such documentation or any notice thereof on or through the TODi Mobile App or in such manner as TODi otherwise considers appropriate. If you continue to access to or use the TODi Mobile App, any APP Information or any Services after any Modification has become effective, such access or use shall constitute your acceptance and agreement to the Modification and all consequential revisions to these terms and conditions of this Agreement (if any).
Tableware Ownership and User Conduct:
• The reusable tableware provided through this program are the property of the program provider.
• Customers must handle the reusable tableware with care and use them only for their intended purpose after rental.
• Customers are responsible for the proper use and keep them in good condition during use.
• Customers are prohibited from altering, damaging, or misusing the reusable containers in any way.
• Customers are agree to return the containers in good, clean condition when finished using them.
• Failure to comply with the user conduct guidelines may result in suspension or termination of the customer’s participation in the program.
• All reusable tableware must be circulated within Hong Kong.
Tableware Rental Process and Deposit:
• Vending machines within this program are the only channel for customers to rent reusable tableware.
• Each customer is allowed to rent reusable items per account, which can be a combination of reusable container(s) and cutlery set(s), loaned items are recommended to return for reuse.
• You can rent the reusable tableware from our designated vending machines using various payment methods, including Octopus card, credit/debit cards, mobile payments, and other contactless payment options shown on the kiosk.
• The deposit amount will be clearly communicated at the kiosk prior to tableware pickup.
• A refundable deposit of HKD $20 will be charged for each item customer rents.
• Your deposit will be fully refunded on your OCTOPUS CARD upon the return of the item in acceptable condition at the designated return stations.
Tableware Return and Deposit Refund:
• All loaned tableware must be returned to the designated drop-off station(s) within the program area and in a timely manner.
• Loaned tableware can only be returned and accepted during operating hours of the return locations.
• Each return station in this program has different operating hours, stations within non-operating hours will not accept any loaned tableware.
• Containers should be rinsed and free of any food waste or residues prior to return.
• Returned containers should be free of any visible damage or defects.
• To receive your deposit refund, you must return the loaned tableware using your Octopus card. Refunds are not available through any other payment methods at the return station(s).
• No other payment methods are accepted for returns and refunds at the return station(s), except Octopus card.
• For customer(s) without Octopus card, they are recommended to visit a designated office in Wan Chai. For details on the deposit refund process, please refer to www.todi.com.hk.
• Failure to return tableware within the specified timeframe or in acceptable condition, using a non-Octopus payment method may result in the forfeiture of your deposit at the return stations.
• Containers that are cracked, broken, or excessively worn will not be accepted for refund.
Vandalism
• Customers are responsible for the reusable containers they rent and must handle them with care.
• Customers are strictly prohibited from vandalizing, defacing, or intentionally damaging any of the reusable containers or associated program equipment, such as vending machines or return stations.
• Any act of vandalism or deliberate damage to the program’s property will result in the forfeiture of the customer’s deposit and may lead to legal action and potential prosecution.
• The program provider reserves the right to ban customers from further participation in the program if they are found to be engaged in acts of vandalism.
• Repeated incidents of vandalism or misuse of the reusable tableware may result in the suspension or termination of the customer’s participation in the program.
• The program provider reserves the right to take legal action against customers for any intentional damage or misuse of the reusable tableware.
• In case of any disputes, the program provider reserves the right to make the final decision.
Payment Currency
• The refundable deposit for the reusable tableware is denominated in Hong Kong dollars (HKD).
• Refunds of the deposit will also be provided in Hong Kong dollars.
• The program does not accept payments in any other currencies at this time.
Rental Period:
• Users are recommended to return loaned item(s) within an allotted period which has set to be 14 days.
• Reminder message(s) will send to user where user is able to check the alert message from the APP Inbox.
• However, all loaned tableware must be returned before the program ends. The program end date will be communicated to all customers in advance.
• Failure to return the loaned items by the program end date will result in the forfeiture of your deposit.
Payment Methods
• Customers can pay the refundable deposit at the designated vending machine(s) using Octopus Card, credit cards, or other contactless payment(s) shown on the kiosk.
• Refund via Octopus Card is the only way for customers to receive their refundable deposit at the designated return stations within the program.
• The program provider reserves the right to add, remove, or modify the accepted payment methods at any time.
• Customers are responsible for ensuring their chosen payment method is valid and has sufficient amount to cover the deposit.
• Failure to make the required deposit payment may result in customers being unable to rent the reusable containers.
Hygiene
• The program provider has partnered with a designated washing workshop that will take full responsibility for the cleaning and sanitization of all returned reusable tableware.
• The washing workshop will use commercial-grade dishwashing equipment and sanitizing procedures to ensure the reusable containers meet the highest hygiene standards before being redistributed.
• Customers are encouraged to remove all residues and rinse tableware before return, however it is not required to wash the containers themselves, as the washing workshop will handle this process.
Permitted Use and Restrictions
• The reusable containers are not permitted to be used outside of the designated program area within Hong Kong.
• Containers may not be reused for any purpose other than what was originally intended.
• Customers are prohibited from using the reusable containers for any purpose other than the intended food or beverage consumption.
• Customers are prohibited from using the reusable containers for any illegal, unethical, or harmful activities.
• Tampering with, modifying, or attempting to resell the containers is STRICTLY PROHIBITED.
• Customers are not allowed to remove the containers from the program’s designated return locations or vending machines.
• Customers are prohibited from transferring, selling, or trading the rented containers to other individuals or entities.
• Customers who misuse the reusable containers or the program’s platform may be subject to suspension or termination from the program.
• The program provider reserves the right to limit the number of containers that can be rented by a single customer at any given time.
• Customers who violate these restrictions may face suspension or termination from the program, forfeiture of their deposits, and potential legal action.
Maintenance Arrangement
• The program provider will regularly maintain and service the vending machines and related infrastructure.
• The program provider will make reasonable efforts to minimize disruptions and provide advance notice of any planned maintenance.
• Customers may experience temporary unavailability of the vending machines and return stations during maintenance periods.
Intellectual Property Rights
• All materials and information contained in the TODI Mobile App are owned by, and the property of, TODI and/or third-party licensors. Except as expressly permitted herein or with the prior written permission of TODI, no material from the TODI Mobile App may be used, copied, reproduced, uploaded, posted, transmitted or distributed in any way. In particular, the use or reproduction of any such material or information on any other website, internet, intranet, or computer environment is strictly prohibited.
• All intellectual property rights, including trademarks, logos, and designs associated with the program are owned by the program provider.
• Customers are not permitted to use, reproduce, or distribute any of the program’s intellectual property without prior written consent.
Termination
• We reserve the absolute right to at any time terminate the provision of the TODi Mobile App in general, this Agreement, and/or the licence granted to you to use the TODi Mobile App any APP Information and/or any Services. with immediate effect without cause and/or prior notice and/or without liability.
• In particular, if you fail, or we reasonably suspect that you have failed, to comply with any of the provisions of this Agreement, we may immediately or any time thereafter, at our sole and absolute discretion, and without prior notice to you, terminate this Agreement and/or preclude your access to the TODi Mobile App, any APP Information and/or any Services.
Copyright
• The content, design, and all intellectual property rights associated with the reusable container program are owned by the program provider and are protected by copyright laws.
• Customers are not permitted to reproduce, distribute, or modify any part of the program materials without the prior written consent of the program provider.
• The program provider reserves all rights in the compilation of the content, software, and other materials related to the reusable container program.
Disclaimer and Limitation of Liability
• Unless otherwise specified herein or in the express specifications (if any) of individual Services provided through the TODi Mobile App or any other external websites or resources linked to the TODi Mobile App, the APP Content are provided by us or Third Party Providers for personal information purposes only. The provision of the Services, App Content and App Information shall not, under any circumstances, constitute or amount to the rendering of any professional advice or services to you. TODi does not accept any responsibility whatsoever in respect of any APP Content. Any use of and reliance on any APP Content is solely at your own risk. In particular, we shall not be responsible or held liable in any respect whatsoever for any use of websites or resources linked to the TODi Mobile App, the use of which may be subject to other applicable terms and conditions thereunder.
• The APP Content is provided on an “as is” and “as available” basis. Neither TODi, TODi Affiliates nor Third Party Providers make any representation, warranty or guarantee of any kind, express or implied, in relation to any APP Content, including but not limited to:
o (a) any APP Content being accurate, adequate, complete, secure, up-to-date, reliable, merchantable, fit for any particular purpose or correspond with any description or sample (if any);
o (b) any APP Content or the servers, network and/or computer systems connected to any server in relation to the TODi Mobile App being free of defect, error, omission, infringement, viruses, contaminating or destructive properties, harmful components or anything which may change, erase, add to or damage your mobile phone, software, data or equipment;
o (c) access to and use of any APP Content being continuously available, uninterrupted or function properly; or
o (d) that any defects in any APP Content will be rectified or corrected (immediately or at all).
• TODi does not endorse, recommend, approve or guarantee any third parties or any of the contents, information, products or services of hyperlinks that are provided on the TODi Mobile App to other websites or resources.
• TODi reserves the right to at any time and without prior notice remove and/or terminate any external websites or resources linked to the TODi Mobile App. Unless otherwise expressly specified or agreed to by TODi, TODi is not a party to any contractual arrangements entered into between you and any Third Party Providers or providers of any external websites or resources. TODi is not responsible for any damages or losses (whether direct, indirect, special, consequential or incidental) caused by any Third Party Providers, including but not limited to any interruptions, delays, defects, acts or omissions that may exist in the service, information, materials or other contents provided in any external websites or resources.
• For the avoidance of doubt, TODi shall not be held liable for any damages or losses (whether direct, indirect, special, consequential or incidental) you may have incurred or suffered in relation to any Third Party Provider of the Services (regardless of whether the Services in question are free or require payment of any kind), including but not limited to any interruptions, delays, defects, acts or omissions that may exist when you are in the course of making your payment through the payment function on the TODi Mobile App. TODi makes no warranties and guarantees whatsoever about the Third Party Provider of the Services, or their quality or availability, or that such Services are free from defects or errors.
• To the fullest extent permitted by the applicable law, in no event will TODi, TODi Affiliates or Third Party Providers be liable to you or any other person for any direct, indirect, incidental, special, punitive, exemplary, reliance or consequential damages, losses or expenses in whatever nature, kind or character arising out of or incidental to any terms or conditions of this Agreement including but not limited to your use of and access to any APP Content. For the purpose of this Agreement, indirect or consequential loss or damage include, but are not limited to, loss of revenue or profits, loss of anticipated savings or business, failure to realize savings or other benefits, loss of data or use, loss of goodwill, costs of procuring substitute goods, services, even if you have been advised of the possibility of such loss and damage.
• For the avoidance of doubt, notwithstanding any other provisions of this Agreement but subject to the point above, TODi’s aggregate liability by reason of or arising out of this Agreement and regardless of the form in which any legal or equitable action may be brought (whether in contract, tort (including negligence), strict liability or otherwise) is limited to HKD100. In jurisdictions which do not allow the exclusion or limitation of certain types of liability, TODi’s liability will be limited to the maximum extent permitted by laws of such jurisdiction.
• The information provided in this program is for general educational and informational purposes only.
• The program provider does not guarantee the accuracy, completeness, or timeliness of the information presented.
• Customers are responsible for following all applicable laws, regulations, and guidelines related to the use and handling of the reusable tableware.
• The program provider reserves the right to update, modify, remove any content or information, suspend or terminate the program at any time without prior notice.
Waiver and Indemnity
• You hereby waive any and all rights to bring any claim or action in relation or incidental to any terms or conditions of this Agreement including but not limited to your use of any APP Content. In particular, you agree not to sue or recover any damages from TODi, its directors, officers or agents as a result of its decision to remove or refuse to process any APP Content, to warn you in relation to your improper use of any APP Content, to suspend or terminate your access to any APP Content or to take any action during the investigation as a result of TODi’s reasonable suspicion that a violation of this Agreement has occurred.
• By using any APP Content, you agree to fully indemnify and hold TODi, its directors, officers and agents at all times harmless against any and all losses, damages, costs and expenses (including reasonable attorneys” fees and costs) of any nature whatsoever that TODi may incur or suffer arising out of and/or in relation to your default or negligence in use of any APP Content or your breach of this Agreement.
User-generated Content
• The program may allow customers to share user-generated content, such as reviews, feedback, or comments.
• The program provider does not endorse or verify the accuracy of any user-generated content and is not responsible for its content or consequences.
• User-generated content reflects the views and opinions of the individual users and may not represent the views of the program provider.
• The program provider reserves the right to monitor, edit, or remove any user-generated content that it deems inappropriate, offensive, or in violation of the program’s terms and conditions.
• Customers are solely responsible for the content they generate and share within the program.
Data Privacy
• For information about our privacy policies, please refer to our Privacy Policy Statement posted on the TODi Mobile App.
General Provisions
• If any provisions of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provision.
• This Agreement is the entire agreement between you and us relating to the subject matter herein and supercedes all prior communications, representations, agreements, whether oral or written between the TODi and you prior to the date of your acceptance of this Agreement.
• No delay in asserting or enforcing any term, provision or condition of this Agreement by us, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or shall constitute a waiver of any such term, provision or condition. No wavier of any term, provision or condition of this Agreement by us, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or shall constitute a waiver of any other term, provision or condition hereof, whether or not similar, nor shall any waiver constitute a continuing waiver of any such term, provision or condition hereof.
Reporting Issues or Concerns
If you encounter any problems or have feedback about the reusable container program, we encourage you to let us know right away. There are a few ways you can report issues or concerns:
1. Speak to a staff member at the return station/ nearby concierge
• Staff on-site or at the concierge will be able to assist you directly with any immediate issues, including but not limited to damaged or missing containers, problems with the return process.
2. Contact our customer service team

• Our team will be happy to look into any concerns you have and provide assistance.
We take all feedback and reported issues very seriously. Our goal is to continuously improve the reusable container program based on user experiences. All reports and feedbacks will be reviewed, and we will work to address any problems in a timely manner.
Prevailing Language
• These Terms and Conditions are provided in both English and Traditional Chinese.
• In case of discrepancies between the English and Chinese versions of the TODi Mobile App or this Agreement, the English version shall apply and prevail.
Law and Jurisdiction
• This Agreement and the relationship between you (and any user of the TODi Mobile App) and us shall be governed by the laws of Hong Kong Special Administrative Region (“Hong Kong”) and you agree to submit to the exclusive jurisdiction of the Hong Kong courts for all matters in relation to this Agreement and the TODi Mobile App.
Third Party Rights
• Notwithstanding any provision herein, a person who is not a party to this Agreement shall have no rights under the Contract (Rights of Third Parties) Ordinance (Cap.623) or otherwise to enforce or enjoy the benefit of any provision of this Agreement.
Program Changes:
• The program provider reserves the right to modify these terms and conditions of the program at any time with reasonable notice to customers.
• Changes will be communicated to all active program customers.
By participating in the Reusable Container “Reuse and Return” Program, you agree to abide by these terms and conditions. Failure to comply may result in the forfeiture of your container deposit and/or exclusion from the program.
